Consumer Contract has the meaning given in section 3 of the Australian Consumer Law.

Client means the business, individual, or legal entity engaging Scope Marketing Lab for services.

Deliverables means any output such as graphics, campaign materials, strategy documents, reports, or other assets provided under the Contract.

Order Confirmation / Service Agreement means the written acceptance of the Client’s order, proposal, or scope of work.

Price / Fees means the agreed fees as listed in the proposal, invoice, or service agreement.

Retainer means an ongoing monthly engagement for a set allocation of work or hours.

We / Us means Scope Marketing Lab.
2. Formation of Contract
2.1 No Contract exists until Scope Marketing Lab accepts the Client’s order or proposal in writing. Acceptance is deemed received when emailed or otherwise communicated to the Client.
2.2 All services are provided exclusively under these Terms & Conditions. The Client agrees that any additional or conflicting terms supplied by the Client are excluded unless agreed in writing by Scope Marketing Lab.
3. Fees, Payment & Billing
3.1 Unless otherwise agreed, all services must be paid for before work begins.
3.2 Retainer clients are billed monthly in advance. Unused hours do not roll over unless explicitly stated.
3.3 The Client is responsible for all third-party advertising costs (e.g., Google Ads, Meta Ads, printing, software subscriptions).
3.4 All fees are exclusive of GST unless stated otherwise.
3.5 Late invoices may incur interest at 2% above the base commercial rate of Macquarie Bank.
4. Delivery of Services
4.1 Services and deliverables will be supplied digitally unless otherwise arranged.
4.2 Any timelines provided are estimates only. Actual delivery may vary depending on approvals, complexity, workload, or dependency on third-party platforms.
4.3 Scope Marketing Lab is not liable for delays caused by:
* late client feedback,
* unavailability of required content,
* delays by third-party platforms,
* unforeseen events outside our control.
5. Revisions & Approvals
5.1 Unless otherwise stated, proposals include a reasonable number of revision rounds. Excessive revisions may incur additional fees.
5.2 Approval of any deliverable (such as artwork, ads, strategy documents, or posts) will be deemed acceptance.
5.3 Once approved, changes requested by the Client may be billed at our standard hourly rate.
6. Client Responsibilities
6.1 The Client must:

provide accurate and timely information,
-
supply required branding assets or login details,
-
obtain permissions for any content the Client supplies,
-
ensure compliance with advertising platform policies.
6.2 Scope Marketing Lab is not responsible for performance issues caused by incomplete, inaccurate, or delayed client information.
7. Warranty, Performance & Disclaimer
7.1 As a service provider, Scope Marketing Lab does not guarantee specific financial results, sales, or campaign outcomes. Marketing performance varies based on market conditions, competition, creative variables, and the Client’s business operations.
7.2 Nothing in this clause limits the Client’s rights under the Australian Consumer Law.
7.3 We do not warrant that:

any digital platform will function continuously or error-free,
-
any advertising account will remain in good standing (platforms may restrict or ban accounts independently),
-
campaign performance will meet predicted benchmarks.
8. Liability
8.1 To the extent permitted by law, Scope Marketing Lab’s total liability for any claim arising from the Contract is limited to the total amount paid by the Client for the services in question.
8.2 Scope Marketing Lab is not liable for:
* loss of profit, revenue, customers, or data,
* business interruption,
* errors originating from third-party platforms or providers,
* actions taken by Meta, Google, Microsoft, or any advertising channel.
8.3 The Client indemnifies Scope Marketing Lab against claims arising from content or instructions the Client provides.
9. Intellectual Property
9.1 Deliverables created by Scope Marketing Lab are granted to the Client under a licence for business use once full payment is received.
9.2 Scope Marketing Lab retains ownership of working files, drafts, templates, scripts, and internal tools unless expressly transferred.
9.3 The Client warrants that any supplied content does not infringe copyright or other rights.
10. Termination
10.1 Either party may terminate the Contract with written notice if the other materially breaches the Terms and does not remedy the breach within 14 days.
10.2 On termination:

all unpaid work must be paid for,
-
retainers are not refundable,
-
outstanding deliverables may be withheld until payment is received.
11. Force Majeure
Neither party is liable for delays caused by events outside reasonable control, including natural disasters, internet outages, illness, or platform-wide disruptions.
12. Governing Law
These Terms & Conditions are governed by the laws of Tasmania, Australia, and subject to the non-exclusive jurisdiction of Tasmanian courts.
13. General
13.1 Contracts cannot be assigned without written consent.
13.2 If any clause is found invalid, the remaining clauses stay in effect.
13.3 Failure to enforce any clause does not constitute a waiver.

Any approved refund may incur an administrative fee to cover allocated time.
Retainer & Ongoing Monthly Service Refunds
Retainers secure time, scheduling, and priority access. Therefore:

Cancellation may apply to the *next* billing cycle only, unless otherwise agreed.

Unused hours do not roll over unless expressly stated in your agreement.
Third-Party Advertising Costs
